The whole process of setting up a foreign-invested company
1. The investor interviews with the consulting company to specify the aim of the investment and the expectation of operation form. The consultant simply introduces the relating laws, policies and operation plan.
2. The consulting company will offer a detailed written project plan after the investor signs the consulting contract and pays the consulting fee. The content of the project plan will include pertinent laws and regulations, forms and structure of investment, investment capital amount, capital installment time requirement and form of registered capital, favorable policies and related requirements to enjoy, establishing spots, related fees of establishment, and most important of all, whether it’s necessary to establish a new company, etc.
3. If the investor makes decision to establish a new company, a consulting and agency contract to establish a foreign-invested company should be signed and the investor should pay the consulting fee according to the contract.
4. The investor should confirm the registering spot, sign house lease (purchasing) agreement or land purchasing agreement.
5. The investor prepares the documents needed for establishing a foreign-invested company. The consulting company should provide detail list and samples of the documents, and have a check before the formal files being signed.
6. The consulting company should get approval of the name of the company, draft out article of association of the new company, contract of joint venture, feasibility study report, and get certificate of approval and business license.
7. To finish after-business-license procedures: foreign exchange registering, tax registering, opening a bank account, examination report of registered capital, custom registering, etc.
8. The new company starts business
